Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Rance Long, Senior Vice President, Sales & Marketing, will retire from MRC Global Inc. (the “Company”) on or about May 2, 2025 (“Retirement Date”). The Company is conducting a search for his replacement. Mr. Long will assume a new role as Senior Vice President – Marketing Strategy, reporting to the CEO, focused on marketing strategy until his Retirement Date and will assist with the transition to his replacement upon the replacement’s hire. Mr. Long’s compensation through the Retirement Date will not change, but Mr. Long will not receive a long-term equity grant in 2025 and will not participate in the Company’s short-term annual incentive plan for 2025.
